Foreigner Who Wants To Open Business in Philippines

PROCESSING PROCEDURE

1) If foreigner involvement in a company it should be register as Corporation.
a) If company is doing business locally the incorporators will be as follows 40% foreigner and 60% filipino minimum of 5 incorporators.
b) If company involves in export/import the incorporators will be as follows 60% foreigner and 40% filipino minimum of 5 incorporators.

So below are needed requirements to register in SEC


1) Cover Sheet

2) A name verification slip
3) Registration Data Sheet
4) Bank Certificate of Deposit for your Paid-up capital
5) Articles of Incorporation
6) Undertaking to Change Name
7) A Treasurer’s Affidavit
8) Your Corporate By-Laws
9) Endorsements/clearances from other government agencies ( depending on the nature of business )
10) Proof of remittance by foreign corporate subscribers and for a corporation with Foreign Equity
Application Form F-100, for corporations with more than 40% foreign equity

Note: There are private individual who can process your SEC registration in most faster way than regular processing you just have to comply Passport copy, address of Filipino Incorporators, address of foreigner incorporators in Philippines, business location address for a minimal Professional Fee. You just sign the documents and they will prepare everything and no need for you to show up in SEC office.
